Bpifrance Participations S.A. is a French public investment fund specializing in the business of equity financing via direct investment or fund of funds. Bpifrance Participations S.A. is a wholly-owned subsidiary of Bpifrance S.A., a French financial institution especially created for this purpose. CDC, a French special public entity (établissement special) and EPIC, a French public institution of industrial and commercial nature, each hold 50% of the share capital of Bpifrance S.A. and jointly control Bpifrance S.A. CDC is principally engaged in the business of long-term investments. EPIC is principally engaged in the business of banking finance. Innobio is a fund managed by Bpifrance Investissement S.A.S. (which is the management company (société de gestion) of Bpifrance), and Bpifrance Investissement S.A.S. is a wholly-owned, indirect subsidiary of Bpifrance Participations S.A. InnoBio is a venture capital fund.  The main aim of the fund is to make equity investments in innovative companies providing technology, products and services for health care.  

 

As of December 31, 2016, Bpifrance Participations S.A. held directly 1,291,067 Ordinary Shares, and Innobio held directly 452,266 Ordinary Shares. Neither Bpifrance S.A., CDC, EPIC nor Bpifrance Investissement S.A.S. held any Ordinary Shares directly. Bpifrance Investissement S.A.S. may be deemed to be the beneficial owner of the 452,266 Ordinary Shares held by Innobio, through its management of Innobio. Bpifrance S.A. may be deemed to be the beneficial owner of 1,743,333 Ordinary Shares, indirectly through its sole ownership of Bpifrance Participations S.A., which is the indirect parent company of Bpifrance Investissement S.A.S. CDC and EPIC may be deemed to be the beneficial owners of 1,743,333 ordinary shares, indirectly through their joint ownership and control of Bpifrance S.A.

 

As of December 31, 2015, Bpifrance Participations S.A. held directly 1,291,067 Ordinary Shares, and Innobio held directly 921,192 Ordinary Shares. Neither Bpifrance S.A., CDC, EPIC nor Bpifrance Investissement S.A.S. held any Ordinary Shares directly. Bpifrance Investissement S.A.S. may be deemed to be the beneficial owner of the 921,192 Ordinary Shares held by Innobio, through of its management of Innobio. Bpifrance S.A. may be deemed to be the beneficial owner of 2,212,259 Ordinary Shares, indirectly through its sole ownership of Bpifrance Participations S.A., which is the indirect parent company of Bpifrance Investissement S.A.S. CDC and EPIC may be deemed to be the beneficial owners of 2,212,259 Ordinary Shares, indirectly through their joint ownership and control of Bpifrance S.A.

 

As of December 31, 2014, Bpifrance Participations S.A. held directly 1,394,994 Ordinary Shares, and Innobio held directly 1,121,192 Ordinary Shares. Neither Bpifrance S.A., CDC, EPIC nor Bpifrance Investissement S.A.S. held any Ordinary Shares directly. Bpifrance Investissement S.A.S. may be deemed to be the beneficial owner of the 1,121,192 Ordinary Shares held by Innobio, through its management of Innobio. Bpifrance S.A. may be deemed to be the beneficial owner of 2,516,186 Ordinary Shares, indirectly through its sole ownership of Bpifrance Participations S.A., which is the indirect parent company of Bpifrance Investissement S.A.S.
